Directors’ and Officers’ Liability Insurance in Corporate Governance

Directors’ and officers’ liability insurance (D&O insurance) is a specialised form of coverage designed to protect senior executives and board members from personal losses arising from legal actions brought for alleged wrongful acts in their corporate capacity. As a risk‐transfer mechanism, it underpins modern corporate governance by balancing the need to attract talented leaders with the imperative to maintain accountability and fiduciary responsibility.
