Product Market Competition and Corporate Governance
Summary
Product market competition and corporate governance constitute two interlocking dimensions of firm behaviour and performance. Competition in the product market disciplines managerial decision-making by constraining pricing power, incentivising efficiency and promoting innovation. Corporate governance encompasses the mechanisms, processes and relations by which firms are controlled and directed, involving the board of directors, ownership structure and external monitoring. Robust governance can amplify the benefits of competition by aligning managerial incentives with shareholder interests, mitigating agency conflicts and ensuring strategic resilience. Conversely, in the absence of strong governance, intense competitive pressures may induce short-termism, underinvestment in research and development or opportunistic reporting. Across diverse institutional contexts, scholars have documented how governance frameworks moderate the effects of competition on financial performance, cash management, environmental and social outcomes, and disclosure practices. Global integration of markets has heightened the relevance of cross-border comparisons, revealing that the joint calibration of competitive forces and governance standards is central to sustainable value creation, risk mitigation and long-term strategic growth.
